01 — THE MONI TRIBE & CUSTOMARY LAND

A community.
A homeland.

The Moni people are an Indigenous tribe in Central Papua, Indonesia, with longstanding customary ties to their ancestral land. Communities of the Moni Tribe in Intan Jaya and Paniai are central to the proposed partnership.

Understanding Tanah Ulayat. Customary land rights are collective rights held by the relevant customary community. They are exercised through customary institutions and landholding groups, with the affected rights holders involved in decisions about project access and use.

Indonesia’s Constitution recognises customary law communities and their traditional rights subject to applicable legal requirements. Papua’s Special Autonomy framework provides for protection of customary rights and deliberation to agree the provision of customary land and compensation. Project-specific boundaries, authority and consent are established through due diligence.

Moni Company coordinates commercial partnerships and investor relationships. Customary chiefs of the Moni Tribe who participate in LEMASMO also serve on Moni Company’s board of directors. Its project mandate and corporate authority are reviewed during due diligence; mining operations require the appropriate licensed holder and approvals.

Customary land rights and mining licences are distinct. Internal customary and corporate documents are provided during due diligence under appropriate confidentiality arrangements.

Moni Company is seeking a capital and offtake partner for a proposed community alluvial gold pilot within land identified by customary landholders of the Moni Tribe.

Central Papua’s extensive river network presents multiple prospective locations for alluvial gold development, particularly upstream stretches near riverside villages of the Moni Tribe. Moni Company’s initial approach is to assess these opportunities within the Moni Tribe’s customary land and prioritise the most promising sites for staged pilot development. Gold content and recoverability, site boundaries, access and permitting status will be verified before investment and operations.

Our approach starts with a defined pilot: establish the site, verify recoverable gold, assess costs, and agree a transparent route from production to sale.

A broader mineral platform may follow the initial alluvial-gold opportunity.

Moni Company’s immediate focus is a legally structured alluvial-gold partnership. Over time, this customary and local partnership platform may support assessment of broader mineral opportunities across Central Papua.

Hard-rock gold, copper, rare-earth elements and other potential targets would require separate geological verification, independent technical assessment, applicable mining tenure, environmental approvals and a separate investment arrangement. Development would proceed only where geology, law and economics justify it.

PATHWAY 1

ALLUVIAL GOLD — INITIAL ENTRY

Proposed financing and gold offtake for a community project, developed through the required permitting process.

The proposed structure would keep the IPR with an eligible local holder, with Moni Company coordinating the commercial partnership. Financing and gold offtake arrangements, including any foreign participation, must comply with applicable Indonesian law and project-specific approvals.

Detailed proposals and supporting materials are available under appropriate confidentiality arrangements, subject to legally required disclosure and the agreement procedures in Article 14.

PATHWAY 2

BROADER MINERAL DEVELOPMENT — FUTURE OPTION

Where independent geological evidence supports further assessment, Moni Company welcomes qualified strategic partners for exploration and potential larger-scale mineral development.

Each project would follow the applicable Indonesian mining-tenure regime—potentially an IUP (Mining Business Licence), IUPK (Special Mining Business Licence) or another lawful project structure—depending on the area’s status and government allocation.

EXPLORATION

Exploration funding, geological and geophysical work, drilling, metallurgical testing and feasibility studies.

DEVELOPMENT

Project-development capital, processing technology and infrastructure.

STRATEGIC SUPPORT

Technical expertise and long-term offtake.

Each opportunity would be separately evaluated, negotiated, licensed and commercially ring-fenced from the initial alluvial-gold project. Participation in the pilot grants no automatic rights over future mineral opportunities.

These commitments guide the proposed project and the agreements to be developed. Site-specific permits, mandates and operational systems are verified and established before the relevant activities begin.

Documented consent & lawful operations

Confirm affected landholders, boundaries and representative authority. Begin mining only after the required permits, land-access agreements and environmental or forestry approvals, where applicable, are in place.

Taxes & statutory payments

Provide for all applicable Indonesian taxes, levies, statutory fees and reclamation obligations. Use official payment channels and retain records for project reporting and review.

Transparent financial management

Define project accounts, payment authority, production and sales records, and investor reporting. Reject bribery and unofficial payments; provide for agreed independent review and access to supporting records.

Traceable production & staged funding

Agree independent assay, gold custody and traceability, authorised sales channels and bank settlement. Commit funds against verified project milestones, with clear responsibilities and oversight.

Community participation, paid local work, environmental management and reclamation are integral to the proposed operating model. Detailed commercial terms are developed with the relevant parties following initial engagement. Future larger-scale projects require separate geological validation, licensing, environmental review, community engagement and investment structuring.

Regional geological indications help frame exploration questions. Site-specific assays, recoverability and an independently assessed resource are needed to support an investment case. Customary land interests and mineral exploration potential are distinct from a mining licence.

Check site-specific WPR designation, the eligible IPR holder and all required approvals. Review foreign financing, offtake and operating agreements before committing funds. Proposed pilot WPR/IPR status remains unverified.

03Establish a technical & cost baseline

Complete representative sampling and recovery trials; assess staffing, equipment, logistics, environmental management and supplier quotations. Agree the investment amount based on these findings.

04Agree traceability & commercial terms

Define production records, independent assay, chain of custody, refinery or offtaker selection, bank settlement, reporting and cash-flow distributions. Put decision rights and oversight in writing, and follow applicable disclosure, witnessing and agreement procedures.
